Terms & Conditions
These terms set out the basis on which Tegas provides advisory services. Please read them before engaging our work. If anything is unclear, do contact us directly.

1. Definitions
In these terms, the following words carry the meanings below:
- "Tegas" refers to the advisory practice operating under the Tegas name, based at Unit 19-3, Menara Worldwide, Jalan Bukit Bintang, 55100 Kuala Lumpur.
- "Client" means the organisation or individual that has engaged Tegas for advisory services.
- "Engagement" means any specific service provided under a written or emailed agreement, including the services described on our Solutions page.
- "Written Brief" or "Advisory Memo" means any document produced by Tegas as a deliverable of an engagement.
- "TMS" means a Transport Management System or equivalent fleet operations platform operated by the Client.
2. Our Services
Tegas provides advisory services to logistics and fleet operations businesses. The current service offering is summarised in the table below. Full descriptions are available on our Solutions page.
The scope of each engagement is confirmed in writing before work begins. Any variation to scope is agreed in writing and may affect the fee.
3. Engagement and Confirmation
An engagement begins when both parties have exchanged written confirmation — typically by email — of the service, fee, and start date. We do not consider an engagement active based on a verbal discussion alone.
For the Operations Stewardship Retainer, the engagement continues on a rolling monthly basis until either party gives 30 days' written notice of termination.
4. Fees and Payment
Fees are stated in Malaysian Ringgit (MYR) and are exclusive of any applicable taxes. Invoices are issued as follows:
- For the Dispatch Listening Visit and Co-Pilot Pilot: 50% on confirmation, 50% on delivery of the written brief or pilot close-out.
- For the Operations Stewardship Retainer: invoiced monthly, payable within 14 days of invoice date.
We reserve the right to pause or conclude an engagement where invoices remain outstanding beyond 30 days without agreed arrangement.
Expenses incurred in the course of an engagement — such as reasonable travel to depot sites outside Kuala Lumpur — will be invoiced separately at cost, with prior agreement.
5. Deliverables and Intellectual Property
Deliverables produced for a Client — including written briefs, advisory memos, and pilot close-out reports — become the Client's property upon receipt of full payment for the relevant engagement.
Tegas retains the right to use anonymised, aggregated learning from engagements to improve our advisory methodology. We will never attribute findings to a named client without written consent.
Where Tegas uses third-party tools or frameworks during an engagement, intellectual property in those tools remains with their respective owners.
6. Client Responsibilities
For engagements to proceed effectively, Clients agree to:
- Provide reasonable access to dispatch operations, relevant personnel, and (where applicable) read-only access to TMS data as agreed.
- Designate a named contact who can facilitate access and answer questions during the engagement.
- Inform Tegas of any regulatory, confidentiality, or operational constraints that may affect our work prior to the engagement start.
- Review and respond to draft deliverables within a reasonable timeframe — typically 10 working days.
7. Confidentiality
Tegas treats all Client operational data, commercial information, and internal documents as confidential. We will not disclose such information to third parties except as necessary to deliver the engaged service, or as required by law.
Clients are asked to treat Tegas methodology, pricing structures, and proprietary frameworks as confidential and not share these with third parties without our consent.
Confidentiality obligations under these terms survive termination of the engagement for a period of three years.
8. Limitation of Liability
Tegas provides advisory guidance informed by professional experience. Our recommendations are intended to assist human decision-making and are not a substitute for it. The Client remains responsible for all operational decisions, including those made in response to our advice.
To the extent permitted by Malaysian law, Tegas's liability in respect of any single engagement is limited to the fees paid for that engagement. We are not liable for indirect, consequential, or speculative losses arising from advice given in good faith.
Nothing in these terms limits liability for fraud, gross negligence, or where limitation is not permitted by law.
9. Regulatory Context
Where our advisory work touches on fleet operations, Tegas aims to align our recommendations with applicable Malaysian regulatory guidance, including notices issued by the Jabatan Pengangkutan Jalan (JPJ) and the Suruhanjaya Pengangkutan Awam Darat (SPAD) or Kementerian Pengangkutan. However, Tegas does not provide legal or regulatory compliance advice, and Clients should consult appropriate legal counsel for compliance matters.
10. Termination
Either party may terminate an engagement if the other party materially breaches these terms and fails to remedy that breach within 14 days of written notice. In the event of termination, the Client is responsible for fees covering work completed up to the termination date.
For the Operations Stewardship Retainer, either party may terminate by giving 30 days' written notice without cause.
11. Governing Law and Disputes
These terms are governed by the laws of Malaysia. In the event of a dispute, both parties agree to attempt resolution through discussion in good faith before pursuing formal proceedings. If formal resolution is necessary, the courts of Malaysia shall have jurisdiction.
12. Changes to These Terms
Tegas may update these terms from time to time. The current version is published on this page with the effective date shown above. For ongoing engagements, material changes will be communicated in writing with at least 30 days' notice.
